Terms of Service
These terms govern your use of kalends.ai and of the Kalends application. By using either you accept them. If you do not, please do not use them.
Who these terms are with
Kalends is a product of Thinkfast Group, LLC, a Texas limited liability company (“Kalends”, “we”, “us”). These terms cover two things: kalends.ai, the public site describing what we are building, and the Kalends application at app.kalends.ai, the software itself.
Where a section applies to only one of them, it says so. Everything else applies to both.
The figures on this site
Every figure, chart, metric, insight, accuracy rate, and screenshot on kalends.ai is illustrative demonstration data. It shows the shape of what Kalends produces. It is not the financial data of any real company, it is not a customer result, and it is not a benchmark.
That includes, without limitation, the KPI values, the charts and forecast scenarios, the modeled agent accuracy figures, and the sample briefing and report material. Do not rely on any of it as a representation of performance you will obtain, and do not cite it as a benchmark for anything.
This section is about the public site. The figures in your own Kalends application are your data, not demonstration data, and nothing here disclaims them.
We would rather show you a demonstration and say so than show you a customer’s books.
Not advice
Nothing on this site or in the application is financial, accounting, tax, investment, or legal advice, and using either creates no advisory relationship of any kind. Kalends is a software product, not a licensed advisor.
The application produces reports, ratios, forecasts, and written commentary from the data you give it. Its output is only as good as that data, and it is prepared for you to review and exercise judgment over — not to rely on unexamined. You remain responsible for what you present to your clients, your board, or your lender.
Eligibility
You must be at least 18 years old to use this site. If you are using it for an organization, you confirm you are authorized to accept these terms for that organization.
The waitlist
Submitting an email address requests notification when Kalends opens. It is not an order, a contract for the product, a reservation, or a price quote — and no pricing is offered anywhere on this site. We may decline or withdraw access requests at our discretion, and we may change or cancel what we are building.
Application only
Your account
You need an account to use the application. You are responsible for what happens under it, for keeping your credentials secure, and for the people you invite to your practice.
Your practice’s owner may require two-factor authentication for everyone in it. Where they have, you will be asked to enroll before you can use the application.
Tell us promptly if you believe an account has been compromised.
Application only
Your data
Your data stays yours. The ledgers, statements, budgets, and figures you upload or connect, and everything we derive from them, belong to you. We claim no ownership of any of it.
We use it to operate the application for you: to classify accounts, produce reports, reconcile statements, generate insights, and show you your own history. We do not sell it. We do not use one practice’s data to serve another. We do not use your clients’ financial data to train models.
Confidentiality. We treat what you upload as confidential and limit access to people who need it to run or support the service.
Export and deletion. You can export your data while your account is active. When you close your account we delete it within 90 days, except where we are required to keep something longer, and except for backups which age out on their own schedule.
Application only
AI processing
Some Kalends features use AI models to classify accounts, draft commentary, and summarize insights. Where they do, figures from your reports are sent to third-party model providers to produce that output.
This is off unless your practice turns it on. The setting is practice-level, disabled by default, and the owner controls it.
We send figures, not narrative context you have not asked us to send. We send your data only to providers whose terms prohibit using it to train their models. Model output is drafted for you to review; it is not a substitute for your own judgment.
Application only
Connected accounting systems
You can connect Kalends to QuickBooks Online, Xero, or MYOB. When you do, you authorize us to read the data needed to produce your reports, and you confirm you are entitled to grant that access for the company concerned.
You can disconnect at any time. Disconnecting stops future syncs; it does not delete what has already been imported.
Acceptable use
You agree not to:
- use the site unlawfully or in breach of these terms;
- submit an address you are not entitled to use, or impersonate anyone;
- infringe anyone’s intellectual property or other rights;
- upload or transmit malware or anything designed to interfere with the site;
- probe, scan, or test the security of the site, or attempt to gain unauthorized access to it or to any related system;
- scrape, crawl, or harvest content or data from the site by automated means, or use it to train a machine-learning model, without our written permission;
- overload the site, or interfere with anyone else’s use of it.
In the application, you also agree not to:
- use it for a company you are not entitled to act for;
- attempt to access another practice’s data;
- upload anything you are not entitled to upload.
Availability
We aim to keep the application available but do not guarantee it. We may change, suspend, or discontinue features, and will give reasonable notice of a material change where we can.
Our content
All content on this site — text, design, typography, layout, illustrations, photography, charts, code, the Kalends name and marks — belongs to Thinkfast Group, LLC or is used under licence, and is protected by United States and international law.
You may view and share the site, and quote briefly from it with attribution. You may not copy, reproduce, adapt, or redistribute it substantially, or use our name or marks to suggest an endorsement or association that does not exist.
Third-party names and logos shown on the site, including those of integration partners, belong to their owners. Their appearance indicates an intended integration and does not imply their endorsement of Kalends.
What you send us
If you send us feedback, questions, or suggestions, you grant us a non-exclusive, royalty-free, worldwide licence to use them to operate and improve Kalends. You keep ownership of what you sent. We take no licence at all in your email address beyond the uses described in the Privacy Policy.
No warranty
The site is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not warrant that the site will be uninterrupted, timely, secure, or error-free, or that the content is accurate, current, or complete.
Limitation of liability
To the fullest extent permitted by law, Thinkfast Group, LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of this site — whether in contract, tort, or otherwise, and even if we have been advised such damages are possible.
Our total aggregate liability arising out of or relating to this site will not exceed the greater of the amount you paid us in the month before the claim arose, or one hundred United States dollars ($100). Some jurisdictions do not allow these exclusions, in which case they apply to the maximum extent permitted.
Indemnification
You agree to indemnify and hold harmless Thinkfast Group, LLC and its members, officers, employees, and agents from any claim, demand, loss, liability, or expense — including reasonable legal fees — arising out of your use of the site, anything you submit, or your breach of these terms or of any law or third-party right.
Copyright complaints
If you believe material on this site infringes your copyright, send a notice under the Digital Millennium Copyright Act to hello@thinkfastgroup.com, identifying the work, the material, and your contact details, with a statement of good-faith belief and of the accuracy of your notice. We will respond as the DMCA requires.
Third-party sites
Links to sites we do not operate are provided for convenience. We do not control them and are not responsible for their content, terms, or privacy practices.
Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these terms or this site will be resolved by binding arbitration in Dallas County, Texas, on an individual basis. You and we each waive any right to a jury trial and to participate in a class or representative action. Either of us may still bring an individual claim in small-claims court where it qualifies. Where arbitration is unenforceable, the state and federal courts in Dallas County, Texas have exclusive jurisdiction.
Changes
We may change these terms as the product develops. The effective date and version at the top of this page reflect the current version.
For kalends.ai, changes take effect when posted, and continuing to use the site after a change means you accept it. If you do not, stop using the site.
For the application, we will ask you to accept a material change before you continue using it, and we record which version you accepted and when.
General
If any provision is held unenforceable, the rest remains in force. Our not enforcing a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between us regarding the site and the application.
